Chapter I General Principles

Article 1 Introduction  

The Global Alliance for the Development of Pharmaceutical Science is a global educational association voluntarily formed by pharmaceutical schools and universities that share a common vision and strategic goals in the field of pharmacy and health. The association was initiated by China Pharmaceutical University. On October 13, 2023, Global Alliance for the Development of Pharmaceutical Science was launched at the 2nd International Symposium on Development of Pharmacy Schools and its Launching Ceremony was held on the same day in Nanjing. Thirty-six representatives of the first group of founding member schools and universities attended the Founding Assembly.

Article 2 Purpose

GADPS is committed to establishing a global exchange and cooperation platform for education, science and technology and talent cultivation in the field of pharmacy and health among its members, promoting closer partnerships among member schools and universities, non-profit government organizations and the industry, advancing the sustainable development of global pharmaceutical schools and universities, driving the trend of the biotechnology revolution, and contributing to human health and well-being.

    

Chapter II Organization and Responsibilities

Article 3 Organizational Structure

(1) GADPS adopts the rotating chairmanship system. One member school/university takes the chairmanship and presides over the work of the alliance at a time. The rotating term of each chairmanship is 2 years. Member schools/universities take turns to chair the GADPS. The first chairmanship shall be taken by China Pharmaceutical University.

(2) The General Assembly of GADPS is the supreme decision-making body, which is held once every two years in principle.

(3) The General Assembly shall be supervised by a Chairman. The Chairman of the General Assembly is, under normal circumstances, the President/Dean of the current rotating chairmanship.

(4) Unless otherwise stated, resolutions of GADPS shall be decided by a simple majority vote of all members of GADPS.

(5) During the recess of the General Assembly, the leadership functions of GADPS shall be performed by the Secretariat of GADPS.

 

Article 4 General Assembly of GADPS

(1) The president or authorized representatives of the member schools/universities of GADPS shall be members of the standing committee of the General Assembly. The Chairman of the General Assembly is from the chairmanship.

(2) In adopting the resolutions at the General Assembly of GADPS, each member of GADPS shall have one vote.

(3) The Chairman shall be held for a term of two years. The first Chairman of the General Assembly shall be the president of the GADPS initiator.

 

Article 5 Duties of the General Assembly

(1) Determining the main strategic objectives of GADPS; reviewing, amending and adopting the Charter and regulations of GADPS, as well as any policy statements or positions announced by GADPS.

(2) Electing and approving of the Chairman of the General Assembly.

(3) Voting on new membership applications.

 

Article 6 Duties of Chairman of the General Assembly 

(1) Convening and presiding over the General Assembly.

(2) Propose and request additional general assemblies beyond the regular schedule.

(3) Nominating the Secretary-General and the Deputy Secretary-General of the Secretariat.  

(4) Directing the day-to-day management and operation of the Secretariat.

 

Article 7 Secretariat

(1) The Secretariat of GADPS is located in China Pharmaceutical University. Its operating expenses are raised by China Pharmaceutical University. Except the Secretary-General and the Deputy Secretary-General, other members of the Secretariat are composed of representatives selected by the founding GADPS members, and each member appoints one representative to take charge of its daily work in GADPS. China Pharmaceutical University positions standing staff at the Secretariat responsible for the day-to-day work.

(2) The Secretariat is jointly managed by the Secretary-General, the Deputy Secretary-General and representatives of the founding members. The Secretary-General and the Deputy Secretary-General are generally nominated by the Chairman of the General Assembly for a term of two years. All members of the Secretariat are school/university representatives serving a term of two years.

(3) The members of the Secretariat shall meet biennially and may convene additional meetings with the approval of Chairman of the General Assembly. Additional meetings may be held offline or by teleconference. Valid resolutions of the meetings shall be adopted by a simple majority of the members of the Secretariat.

(4) Each member school/university shall appoint a correspondent for its liaison matters within GADPS.

 

Article 8 Duties of the Secretariat

(1) Drafting of documents. Those documents include but not limited to development plans, management mechanisms, annual work report and summary.

(2) Project management. Based on the development needs of the GADPS, the Secretariat shall draft and issue project guidelines, organize project application, conduct process management and achievement registration, etc.

(3) Internal and external liaison. The Secretariat is responsible for the liaison between member schools/universities and the liaison between GADPS and other organizations and institutions.

(4) Routine work. This includes the preparation of all kinds of meetings, documents, materials and archives of GADPS, the construction and maintenance of the GADPS website, and the organization of overall publicity of GADPS.

(5) Assuming leadership responsibilities during the recess of the General Assembly.

(6) Receiving and processing applications for membership.

 

Article 9 Duties of Secretary-General of the Secretariat

(1) Convening and presiding over the plenary meetings of the Secretariat.

(2) Convening and chairing additional meetings as necessary.

(3) Directing the work of the Secretariat.

 

Article 10 Duties of the Deputy Secretary-General of the Secretariat

(1) Managing the secretariat and handling the daily affairs of the General Assembly and the Secretariat.

(2) Implementing the work plan and operation plan of GADPS adopted by the General Assembly.

 

Article 11 Duties of Representatives of Members of the Secretariat

(1) Participating in meetings of the Secretariat and implement GADPS's work plan in its member schools/universities.

(2) Publishing and coordinating the projects of member schools/universities of GADPS.

(3) Taping resources to expand and enrich the activities of GADPS and facilitating the future development of the GADPS.

(4) Proposing activities to the Secretariat.

 

Chapter III Qualifications, Rights and Obligations of Members of GADPS

Article 12 

Membership in GADPS is granted upon voluntary application and does not affect the autonomy of each member school/university, including its right to enter into bilateral or multilateral agreements with any third party.

 

Article 13

GADPS is open to all institutions of tertiary education with a background in pharmacy-related research and education that agree with this Charter and with the aims and objectives of GADPS.

 

Article 14

Membership in GADPS is granted through an application to the Secretariat. The school/university applying for GADPS membership shall submit the Application Form to the Secretariat. After the preliminary examination by the Secretariat and approval by the General Assembly, the applicant will become an official member of GADPS. The Secretariat shall register the newly added member and notify other members.

 

Article 15

When a member school/university seeks withdrawal, it shall send a written letter of intent to withdraw to the Secretariat three months in advance, and its membership shall be revoked upon approval. After withdrawing from GADPS, the withdrawn school/university shall not re-apply for GADPS membership within two years.

 

Article 16

The Secretariat reserves the right to remove inactive GADPS members. Applicants who apply to join GADPS again must go through the entire application procedure again.

 

Article 17

Membership in GADPS implies a commitment to the spirit of the cooperation envisaged in the Charter of GADPS.

 

Chapter IV Budget

Article 18

China Pharmaceutical University shall bear the daily operating expenses of the Secretariat.

 

Article 19

No other member school/university assumes an imposed obligation to provide financial support to GADPS.

 

Chapter V Legal Status

Article 20

GADPS is a global educational organization with voluntary enrollment. Any legal relationship between members necessary for joint research, non-disclosure or confidentiality or protection of intellectual property rights will be subject to separate legal agreements within the agreed legal jurisdiction.

 

Article 21 

The Charter of GADPS shall not create any partnership, agency, joint venture or any other form of legal relationship among the members, and no member shall be responsible for the debts or obligations of other members or be entitled to represent other members without authorization.

 

Chapter VI Miscellaneous Provisions

Article 22 

For the matters not addressed in this Charter, the Secretariat shall organize the amendment and approval of the Charter based on the proposals made by GADPS members in accordance with relevant laws and international practices and in the principle of fairness and mutual benefit.

 

Article 23 

This Charter is made in both Chinese and English. For all conflicts and disputes arising from the Chinese and English versions, the Chinese version shall prevail.

 

Article 24 

The Charter of GADPS shall come into force as of the date of deliberation and adoption at the GADPS Launching Ceremony.
